Risk & Forward-Looking Disclosure

Polaris includes statements about strategy, execution, technology, capital planning and future opportunities. This disclosure explains how those statements should be understood.

Effective 23 August 2026Jamaica

1. Forward-looking statements

Polaris may contain statements concerning future plans, objectives, expected capabilities, market expansion, regulatory pathways, commercial opportunities, technology development, capital deployment and other future events.

These statements reflect management's current assessment at the relevant time. Actual results may differ materially because of changes in execution, market conditions, regulation, technology, financing, partnerships, supplier availability, customer behaviour and other factors.

2. Management valuations and scenarios

Valuations, economic-value assessments, replacement-cost references and future valuation scenarios identified as management assessments or illustrative scenarios are not guarantees of market value or future transaction value.

Unless expressly identified otherwise, such figures should not be understood as independent professional valuations.

3. Execution risk

VoLTE Mobile is progressing through commercial and production-readiness stages. Some operating capabilities are established, while other capabilities remain in active completion, controlled operation or subject to external dependencies.

Delays, implementation failures, resource constraints or changes in operating priorities may affect timing and commercial outcomes.

4. Technology and cybersecurity risk

The ecosystem depends on software, databases, authentication systems, payment infrastructure, third-party APIs and other technology services. Service interruption, cybersecurity events, data loss, integration failures or supplier changes may adversely affect operations.

5. Financing and collections risk

Device-financing and credit-related activities may be affected by customer affordability, payment behaviour, defaults, collections performance, regulatory requirements and the effectiveness of operating controls.

6. Supplier and third-party risk

Devices, digital services, connectivity, payment processing, subscription services and other parts of the ecosystem may depend on third-party suppliers and service providers.

Pricing, availability, contractual terms, service reliability and external platform decisions may change outside VoLTE Mobile's direct control.

7. Regulatory risk

Telecommunications, data protection, consumer finance, securities, payments, taxation and other regulated activities may require licences, registrations, approvals, filings, contractual arrangements or other legal conditions before particular capabilities can be commercially activated.

A stated strategic intention does not mean that the relevant regulatory approval has already been obtained.

8. Telecommunications evolution

VoLTE Mobile's longer-term telecommunications ambitions, including deeper mobile-data, voice, SMS or Jamaican mobile-number capability, remain subject to applicable regulatory approvals, licensing, network arrangements and required infrastructure.

9. Regional expansion risk

Expansion outside Jamaica may introduce additional legal, tax, regulatory, market, credit, logistics, staffing, currency and execution risks.

Market assessments and expansion pathways shown on Polaris are strategic assessments, not commitments to enter a jurisdiction.

10. Investment and liquidity risk

Private-company securities may be illiquid and may have no established secondary market. Investors may be unable to sell, transfer or realise value from an investment when desired.

There is no guarantee of dividends, distributions, capital appreciation, financing events, acquisition or other exit.

11. No obligation to update every statement immediately

Polaris is updated as management information and authoritative operating records evolve. A forward-looking statement may become outdated because of events occurring after it was published.

Where a current authoritative legal, shareholder or operating record conflicts with older narrative material, the authoritative record controls.
